Terms of Service

1. Who this agreement is between

These Terms of Service ("Terms") are an agreement between you and AceLearn Services (RC 9609478, a registered business name based in Ijebu-Ode, Ogun State, Nigeria), the operator of NairaCheck (the "Platform"), reachable at acelearnservices@gmail.com. By creating an account or using the Platform in any capacity — Buyer, Seller, Area Partner, or State Coordinator — you agree to these Terms.

If you are under 18, you may not create an account or use NairaCheck in any capacity.

2. What NairaCheck is — and is not

NairaCheck is a price-discovery and directory platform. Sellers submit real prices for goods, services, and Places (hotels, restaurants, and similar) listings; Buyers search those listings. NairaCheck's role is to host, display, and help verify the accuracy of that information — it does not sell goods, does not perform services, and is not a party to any agreement a Buyer and Seller reach with each other.

Important: Payment, delivery, quality, and fulfilment of any goods or service you agree to buy from a Seller happen entirely outside the Platform, directly between you and that Seller. NairaCheck does not process payment for goods or services listed by Sellers, does not hold funds in escrow for such transactions, and is not responsible for a Seller's failure to deliver, a Buyer's failure to pay, or any dispute arising between them. NairaCheck's own payment processing (described in Section 9) is limited strictly to its own platform fees.

3. Accounts, phone numbers, and PINs

• You register with a real phone number and a 6-digit PIN. You are responsible for keeping your PIN confidential and for all activity under your account.
• One phone number may hold one account per role (Buyer, Seller, Area Partner). If you believe your account has been accessed without your permission, contact us immediately.
• You must provide accurate information when registering, including your name, location, and (for Sellers, Area Partners, and Coordinators) bank details used for payment and payout.

4. Buyers

• Searching prices may be free or may cost a small fee per search, shown to you before you search, depending on which pricing mode is active at the time.
• Prepaid search credit, once purchased, is used to pay for searches as you make them and does not expire.
• You are responsible for verifying a Seller's identity, address, and the genuineness of any goods or services before paying them directly. NairaCheck's Area Partner verification process (Section 6) reduces but does not eliminate the risk of dealing with a dishonest Seller.

5. Sellers (Business Owners, Artisans, and Places)

5.1 Registration and verification

• Every Seller must register through an Area Partner's referral code and have their business address verified by that Area Partner before their listings become visible to Buyers.
• Sellers must only list goods and services that are lawful to sell in Nigeria. Sellers listing pharmaceutical products must only list products that are genuinely NAFDAC-registered.
• A "Places" listing (hotel, motel, restaurant, park, or similar stationary location) must accurately represent a real, existing location that the Seller is authorized to list.

5.2 Listings and fees

• The first 100 product or service listings on an account are free. Beyond that, a small per-listing fee applies once that fee is switched on (Section 9).
• Visibility to Buyers requires an active subscription (Section 9). A Seller with a lapsed subscription remains registered but their listings stop appearing in Buyer search.
• A Seller may remove ("delist") their own listing at any time; the record is kept for accounting and dispute purposes but is no longer shown publicly.

6. Area Partners

6.1 Role

An Area Partner ("AP") verifies Seller addresses within their claimed state and town, and earns a commission for doing so (Section 9.3). Approving a Seller's address is a representation to NairaCheck, to Buyers, and to the wider platform that the AP has genuinely visited or otherwise confirmed that address and believes the Seller to be real. An AP who approves a fraudulent or fictitious address is personally responsible for that decision and may be removed under Section 6.3.

6.2 Approval and referral codes

A new AP account requires final approval from NairaCheck admin before it becomes active — approval by a State Coordinator (Section 7) is a recommendation only, not a final decision. An unapproved AP cannot log in to perform AP duties. Each approved AP receives a unique referral code, which Sellers use to register under that AP.

6.3 Removal

NairaCheck / AceLearn Services may remove an Area Partner's active status at any time, either:

• for failure to perform — including but not limited to approving an address that turns out to be fraudulent or fictitious, prolonged inactivity, or failing to respond to sellers awaiting approval within a reasonable time; or
• at the sole discretion of NairaCheck admin, with or without stated cause.

An Area Partner may also resign at any time through their own account.

Removal or resignation ends an AP's ability to approve new Sellers and to earn commission on any Seller registered after that point. It does not cancel commission already earned and unpaid on Sellers registered before that point — sellers who registered under a departed AP's code continue to generate the normal commission described in Section 9.3 for that AP, since the referral relationship itself does not change. Separately, a departed AP who had qualified as a territory Patron becomes eligible for the Patron override described in Section 8.

7. State Coordinators

The first Area Partner ever approved in a given state automatically also becomes that state's Coordinator. A Coordinator reviews and recommends (but does not finally approve) new AP applications within their state, and earns an additional override described in Section 9.4. There is only one Coordinator per state at a time. A Coordinator who resigns or is removed as an AP under Section 6.3 also loses the Coordinator role and its override from that same date.

8. The Patron override

The very first Area Partner ever registered in a specific state-and-town combination ("territory") becomes eligible to be that territory's permanent Patron once they have maintained at least 10 actively subscribed Sellers for 6 consecutive calendar months.

This override is not earned while the qualifying AP remains active. Qualification and payment are two separate things:

• Reaching the 6-month qualification mark, by itself, pays nothing and changes nothing about that AP's normal commission.
• The 1% override only begins to accrue from the exact date the qualified AP resigns or is removed under Section 6.3.
• From that date onward, and for as long as NairaCheck operates in that territory, any Area Partner(s) who go on to serve Sellers in that same territory earn 1 percentage point less than their normal commission rate on revenue from that territory, and that 1 percentage point is paid instead to the departed Patron.
• This survives changes in who is actively working that territory — it is tied to the territory, not to any one successor AP.

9. Payments and platform fees

9.1 How payment works

All payments on the Platform — Buyer search credit, Seller subscriptions, Seller listing fees, and AP/Coordinator/Patron payouts — are processed through Korapay, a licensed Nigerian payment service provider. NairaCheck does not store your card or bank details; Korapay handles that directly.

9.2 Buyer and Seller fees

These amounts may change from time to time; any change applies going forward and does not retroactively affect fees already paid.

9.3 Area Partner commission

Each Area Partner earns 25% of the ₦200/day subscription revenue paid by every Seller registered under their own referral code, for as long as that AP is active. This is recalculated in full from actual subscription payments every time a payout is processed — never estimated or paid in advance.

9.4 State Coordinator override

A State Coordinator additionally earns 5% of every Seller subscription payment made anywhere in their state, across every Area Partner in that state, including their own. Combined with Section 9.3, a Coordinator therefore earns 30% total on Sellers registered under their own code, and 5% on every other AP's Sellers in the state.

9.5 Patron override

As described in Section 8, a departed, qualified Patron earns a flat 1% of Seller subscription revenue from their former territory, taken from whichever Area Partner(s) serve that territory going forward, starting only from the date the Patron actually left.

9.6 Payout frequency

Area Partners and Coordinators choose how often they would like to be paid (daily, weekly, every two weeks, or monthly). This is a preference that guides when NairaCheck processes payment — the amount owed is always calculated fresh from actual payments received, regardless of how often a payout is actually run, so no period is ever missed or double-counted.

9.7 Tax

NairaCheck currently pays commission and overrides in full, with no tax withheld. If a formal withholding arrangement with Nigerian tax authorities is put in place in future, affected parties will be notified in advance before any withholding begins. Area Partners, Coordinators, and Patrons are independent contractors responsible for their own tax filings.

10. Prohibited conduct

• Listing fictitious prices, fictitious sellers, or fictitious Places.
• Approving a Seller address without genuinely verifying it.
• Listing pharmaceutical products that are not genuinely NAFDAC-registered.
• Impersonating another person, business, or Area Partner.
• Attempting to interfere with, reverse-engineer, or abuse the Platform's systems, including its payment or referral-code systems.
• Using the Platform for any unlawful purpose under Nigerian law.

Violating this section may result in immediate suspension or removal under Section 12, in addition to any other remedy available to NairaCheck.

11. Content and listings

You are responsible for the accuracy of any content you submit — prices, descriptions, photos, business names, and addresses. By submitting a photo or other content, you confirm you have the right to share it and grant NairaCheck a license to display it on the Platform for as long as your listing remains active.

12. Suspension and termination

NairaCheck may suspend or terminate any account for violation of these Terms, suspected fraud, or as otherwise described in Sections 6.3 and 10. You may stop using the Platform and request account closure at any time by contacting us.

13. Liability and disclaimers

The Platform is provided "as is." NairaCheck makes reasonable efforts to keep listings accurate and Sellers verified, but does not guarantee that every price, listing, or Seller is accurate, available, or genuine at any given moment. To the fullest extent permitted by Nigerian law, NairaCheck's liability for any claim relating to the Platform is limited to the fees you personally paid to NairaCheck in the 3 months before the claim arose. Nothing in these Terms limits any right you have under the Federal Competition and Consumer Protection Act 2018 that cannot lawfully be limited by agreement.

14. Data protection

How NairaCheck collects, uses, and protects your personal data — including the fact that data is hosted outside Nigeria and what that means for you — is described in our separate Privacy Policy, which forms part of these Terms.

15. Changes to these terms

We may update these Terms from time to time. Material changes — including any change to the commission structure in Section 9 — will be communicated to affected Area Partners and Coordinators before taking effect. Continuing to use the Platform after a change takes effect means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute should first be raised with us directly at the contact below so we can try to resolve it informally; if that fails, either party may pursue any remedy available under Nigerian law, including referral to the Federal Competition and Consumer Protection Commission for consumer-related complaints.
